Walmart Organizational Structure

Walmart runs three businesses that each have their own President and CEO — Walmart U.S., Walmart International and Sam's Club — and publishes the eleven-seat Executive Council they sit on, which is the only layer of its reporting structure the company states outright.

About the company

Walmart Inc. operates more than 10,900 stores and clubs across 19 countries alongside a marketplace and fulfilment business, and reports roughly 280 million customer visits a week. Its fiscal 2026, which ended on 31 January 2026, produced about $713 billion of revenue from a workforce of some 2.1 million associates — the largest private payroll in the world.

The company is a single listed operating entity rather than a holding structure. Businesses that elsewhere would sit as sibling companies under a parent — Walmex in Mexico, Flipkart in India — are consolidated inside the Walmart International segment, so the reporting chain runs to Bentonville rather than to a portfolio board.

That combination is what makes the structure worth reading. Very few organisations have to reconcile three businesses of national-champion scale, a store estate measured in thousands, and a technology and AI programme run centrally for all of it. Walmart's answer is unusually legible from the outside, because it names its own top tier in public.

Three segment CEOs, an eleven-seat council, and a corporate centre that owns the platform

The primary axis is divisional and follows the segments Walmart reports to investors. Walmart U.S., Walmart International and Sam's Club are each run by an executive carrying the literal title President and CEO of that business, and each replicates the corporate stack internally with its own chief financial officer, chief merchandising officer, chief people officer and chief counsel. A segment head is therefore running something closer to a company than a division.

Overlaid on the three divisions is a set of functions held at Walmart Inc. level: finance, global technology, a separate AI acceleration, product and design organisation, people, global governance and legal, corporate affairs, and growth. The working shape is a divisional-functional hybrid — the divisions own the customer and the P&L, the centre owns the platform, the balance sheet and the enterprise risk.

Walmart publishes its leadership in two named bands, and the chart above uses them as its seniority tiers: an Executive Council of roughly eleven officers, which is effectively the CEO's direct-report body, and a much larger Senior Leadership tier of some forty-five EVPs and SVPs. Everything below the Council is an inference from the scope of a title rather than a published line — a divisional CFO reporting to that division's CEO, a chief counsel reporting to the chief legal officer — and the second level of this diagram should be read that way.

The most recent change tested the shape rather than altering it. When John Furner moved up from President and CEO of Walmart U.S. to President and CEO of Walmart Inc. in February 2026, the divisional seat was backfilled internally by David Guggina and the corporate centre did not absorb the segment. Inside Walmart U.S. the durable design choice is that the business is cut by merchandise category — food, consumables, general merchandise, fashion, health and wellness — while eCommerce is paired with marketing under one EVP rather than run as a standalone digital unit.

Key leadership roles

  1. John Furner

President and Chief Executive Officer, Walmart Inc. — Ran Walmart U.S. from November 2019 until January 2026 and succeeded Doug McMillon on 1 February 2026, an internal promotion from the largest segment.

  2. David Guggina

President and CEO, Walmart U.S. — Took the segment when Furner moved up; runs the business that carries most of the company's revenue and store estate.

  3. Chris Nicholas

President and CEO, Walmart International — Owns the consolidated international businesses, including Walmex and Flipkart, as one segment rather than a portfolio.

  4. Latriece Watkins

President and CEO, Sam's Club — Runs the membership warehouse-club business, which has its own merchandising, operations and finance leadership.

  5. John David Rainey

Executive Vice President and Chief Financial Officer, Walmart Inc. — Walmart states his remit extends past finance into customer service and energy, so the departmental grouping in the chart understates the scope.

  6. Suresh Kumar

Executive Vice President, Global Chief Technology Officer and Chief Development Officer — Engineering, data, cloud and infrastructure for all three segments, plus the information security organisation.

  7. Daniel Danker

Executive Vice President, AI Acceleration, Product and Design — Holds enterprise product management and design in a seat deliberately separate from the CTO's engineering organisation.

  8. Donna Morris

Executive Vice President and Chief People Officer, Walmart Inc. — Sits above a federated people function: each segment and several corporate groups have their own chief people officer.

  9. Erin Nealy Cox

Executive Vice President, Global Governance, Chief Legal Officer and Corporate Secretary — Legal, compliance and ethics fused with enterprise risk, investigations, aviation and corporate security.

  10. Dan Bartlett

Executive Vice President, Corporate Affairs, Walmart Inc. — Communications, public policy and government affairs are grouped under one officer rather than split across the divisions.

  11. Seth Dallaire

Executive Vice President and Chief Growth Officer, Walmart Inc. — An enterprise growth seat on the Executive Council with no division of its own.

  12. Jerry R. Geisler III

Executive Vice President and Chief Information Security Officer, Walmart Inc. — Placed under the Global CTO because Suresh Kumar's official biography states he oversees information security; the line is inferred, not published, and some accounts have placed the CISO closer to the legal risk organisation.

  13. Todd Sears

Executive Vice President and Chief Financial Officer, Walmart U.S. — Shown reporting to the Walmart U.S. CEO, which is an inference from title scope; a divisional CFO almost certainly also has a functional line into the enterprise CFO that a single-parent tree cannot draw.

How this structure supports the business

Retail decisions are local and perishable. What a customer expects on a shelf in Arkansas, in Monterrey and in Bengaluru diverges enough that a single merchandising organisation would be arbitrating assortment and price questions it has no information about. Giving each segment a full executive team means those calls are made by people who own the consequence, and the corporate centre is left to arbitrate only what genuinely crosses segments.

The counterweight is that the expensive, slow-compounding assets are held once. One engineering organisation, one AI and product organisation, one balance sheet and one legal and risk function serve all three businesses, which is why a supply-chain or fulfilment capability built for Walmart U.S. can appear in Sam's Club without being rebuilt. A company that had let each segment build its own stack would be paying for three of everything and integrating none of it.

Publishing the Executive Council makes the structure enforceable in a way an internal chart is not. Eleven named officers, three of them P&L owners, are visible to investors, regulators and the company's own associates as the body that answers for the enterprise — and a governance layer whose membership is public is harder to route around than one that is not.

Advantages and disadvantages

Each segment head carries the full title of President and CEO with their own finance, merchandising, people and legal leadership, so assortment, pricing and format decisions do not route through Bentonville corporate.
It duplicates an entire functional stack three times, which is costly and produces three competing answers to the same question — a divisional CFO's forecast and the enterprise CFO's forecast come out of different organisations.
Holding technology, AI and product, people, legal and corporate affairs at Walmart Inc. level stops each division building an incompatible platform and lets one engineering organisation serve all three businesses.
The enterprise function leaders own the platform but not the P&L that depends on it, so shared-services roadmaps are set centrally while the cost of a bad prioritisation lands on a division head who cannot overrule it.
Pairing eCommerce with marketing inside Walmart U.S., instead of running digital as its own division, forces omnichannel questions — store fulfilment, marketplace, pickup — to be settled inside one P&L rather than negotiated between rival units.
A fast-growing digital business embedded in a store organisation is measured, staffed and funded on retail cadences, and can be starved whenever comparable-store performance dominates the quarter.
An eleven-seat Executive Council keeps the CEO in direct contact with every P&L owner and every major staff function, with no chief-of-staff layer filtering what reaches the top.
Eleven direct reports spanning three multi-hundred-billion-dollar businesses and seven corporate functions is a very heavy span of control, and it concentrates every cross-divisional arbitration in one calendar.

Interesting facts

  • Walmart names its own top of house in two published tiers: an Executive Council of about eleven officers, and a Senior Leadership tier of roughly forty-five EVPs and SVPs — unusually explicit disclosure for a company of this size, and the reason the top layer of this chart is verifiable and the layer below it is not.
  • Three of the eleven Council seats are held by segment heads titled President and CEO of their business. Each of those units would rank as a large standalone public company, and each runs its own CFO, chief merchandising officer, chief people officer and chief counsel.
  • AI was given a C-suite seat kept deliberately apart from IT: enterprise product management and design sit with the EVP for AI acceleration, while engineering, data, cloud, infrastructure and information security sit with the Global CTO. Splitting product and design away from the CTO is rare at this scale.
  • Legal and physical security are fused under one officer. Global Governance covers legal, compliance, ethics and litigation and also enterprise risk management, aviation, investigations and corporate security, including Walmart's Global Security Operations Center.
  • The people function is federated rather than centralised. Below the enterprise Chief People Officer sit separate chief people officers for Walmart U.S., Walmart International, Sam's Club, global corporate functions, and digital and associate experience.
  • Walmart U.S. is cut by merchandise category rather than by channel — food, consumables, general merchandise, fashion and health and wellness each have a dedicated EVP — while eCommerce is bundled with marketing under a single EVP, treating digital structurally as a way of selling rather than a separate business.

Frequently asked questions

What type of organizational structure does Walmart use?

A divisional-functional hybrid. The primary axis is divisional and matches the three reported segments — Walmart U.S., Walmart International and Sam's Club — each led by its own President and CEO. Overlaid on them are enterprise functions held at Walmart Inc. level, including finance, global technology, AI and product, people, legal and corporate affairs.

Who reports directly to Walmart's CEO?

Walmart publishes an Executive Council of roughly eleven officers, which is effectively the CEO's direct-report body. It contains the three segment CEOs plus the chief financial officer, the global chief technology officer, the EVP for AI acceleration, product and design, the chief people officer, the chief legal officer, the EVP of corporate affairs and the chief growth officer. Reporting lines below that tier are not published.

Is Walmart International organized as separate companies?

No. Walmart International is one reported segment with a single President and CEO, and businesses such as Walmex and Flipkart are consolidated inside it rather than sitting as peer entities under a holding company. The segment carries its own CFO and regional general managers, so a market leader reports through the segment rather than directly to Walmart Inc.

How much of this Walmart org chart is confirmed?

The top tier is: Walmart names its Executive Council, which is strong public evidence of who reports to the CEO. Every line below that is an inference from the scope of a job title and is drawn as a single solid line even where a dotted functional line almost certainly exists — divisional CFOs and chief people officers in particular are likely to report into both their segment and the matching enterprise function.

Did the 2026 CEO change alter Walmart's structure?

Not materially. John Furner moved from President and CEO of Walmart U.S. to President and CEO of Walmart Inc. on 1 February 2026, succeeding Doug McMillon, and the Walmart U.S. seat was backfilled internally by David Guggina rather than being absorbed into the corporate centre. The segment count, the Executive Council and the enterprise functions all carried over.
